What is BOIR-Online.com?

BOIR-Online.com (BOI) is a service enabling businesses to easily comply with FinCEN requirements for reporting beneficial ownership of companies. While you can do this directly at FinCEN, our method is intuitive and easy, and allows for BOI data reuse for subsequent filings without retyping.

Company owners or their agents can create a BOI, an encrypted file that captures ownership data. This file is stored with Company owners and agents and the data is reused in subsequent filings as needed. The overhead of filling out forms and rekeying data is eliminated, preventing wasted time and effort.

BOIR-Online.com is an application based on Intrepids.

BOI, and related Intrepid applications, are unique because user data is never stored on our servers. The Intrepid, and its data, are purged from our servers upon its creation, use and transmission to data owners. BOIR does retain transactional unidentifiable data to provide customer support.

How does it work?

  • Create - Businesses create their BOIs when they initiate their filing at BOIR-Online for the first time. When a BOI is successfully created, it can be submitted to FinCEN and/or sent to the owner/agent for future filings.
  • Use - Visit BOIR-Online when you wish to file or refile. You can upload your BOI, make changes to the ownership data if needed, and submit. When the changes are readied, you can submit to FinCEN or simply save the new BOI for future use.

What is a BOI?

A BOI is a small datafile that contains your company's ownership data. Currently, a maximum of 5 owners is supported. We will increase this limit if we see the need. BOIs are stored by owners/agents on their devices or in a cloud location as convenient for quick access. We do not retain these files.

Yes. See our pricing page for details. Please note that our costs are low because we do not store your data and do not need expensive security measures to protect it.

Is my data secure and private?

The BOIs are self-encrypting files. No one, not even you can see its contents by opening it. You can see what it contains by uploading it at BOIR-Online.com, and explicitly asking BOIR-online to decrypt it.

The BOIs are private in that no one else has a copy. You store it in a place you trust. Our servers use the BOI data as per your instructions. After use, the data is flushed.

We are not part of FinCEN and we do not control what FinCEN does with this data.

What does BOIR-Online do with my data?

Any data provided to BOIR-Online is used for filing your BOIR and to create a BOI to send to you. During processing, we charge the filing fee, if any, to the credit card you provided.

We retain your transaction record that has encrypted versions of your email and phone (to identify you for support) but all other data is purged when the submission is completed and your BOI is emailed to you.

How can I share my BOI with my agent/client?

To share the BOI with your agent/client, simply open the BOI at BOIR-Online.com and replace the contact information at the bottom with that of your agent/client. When you click the button to send the BOI, it will be sent to the new contact. The receiver will now be able to use that BOI as though they were the data owners.

Please note that this creates a separate copy of the data and changes made to one copy will not be reflected in the other.

Can I create a BOI for refiling if I have filed already?

Yes. Choose the "Initial Filing" option to create your BOI with your reporting company data. Send the BOI to yourself. When received, upload this BOI and set the "Type of Filing" to the correct option. You can do this for free.

Can I use FinCENIds with BOIs?

Yes, you can. When you use a FinCENId that was created for you by FinCEN, you don't need to enter any other information for that Company, Company Applicant, or Beneficial Owner. If a FinCENId is provided, the application will disable all the fields for that entity and will not transmit any field values to FinCEN, except of course the FinCENId.

A minor quirk of this is that if you wish to change the FinCENId in a BOI, you need to upload the BOI, delete the entity whose FinCENId needs to change, send the new BOI to yourself, upload it and then add a fresh new entity to enter the new FinCENId into. Sorry, we will improve on this in V2.0.

How can I be confident of my filing with FinCEN?

We use the FinCEN API to file your data with FinCEN. You can rest assured that your data is accurately transmitted to FinCEN. The FinCEN API responds to our submission with a "processId" and a "status" of filing. These items are stored in your BOIR receipt and you can review them by uploading the BOI Receipt Intrepid by clicking Upload and Automated Support button.

We are not privy to any internal processes at FinCEN and have no way to know if your filing is accepted by FinCEN. Our responsibility ends when we deliver your BOIR receipt with the processId and the "submission_initiated" status.
